TOM TONG

Tom has been representing clients in transactional and litigation matters for over 25 years. Having worked with hundreds of companies, large and small, Tom is familiar with many of the important legal issues that entrepreneurs and executives face. With a business degree and law degree and having worked on several business ventures that he created, Tom is uniquely equipped to provide his clients with strategic and practical advice.

• Assisted numerous entrepreneurs in their business entity formation, corporate maintenance, and dissolution.
• Advised board of directors in various compliance matters as well as in challenges launched by third parties and shareholders.
• Led a variety of M&A deals for clients in industries ranging from robotic devices manufacturing to traditional oil and gas equipment distribution.
• Negotiated and documented product purchase and sale agreements, service agreements, manufacturing agreements, as well as joint venture agreements.

• Assisted Chinese companies in establishment of their subsidiaries in the U.S., including CFIUS analysis, corporate entity choices, personnel and visa matters, contract negotiation, and exit strategies. Covered industries include chemical plants, oil and gas, power generation, furniture production, EV component manufacturing, power storage, and engine parts.
• Counseled U.S. companies in their formation of joint ventures and wholly foreign owned enterprises in China.
• Represented U.S. companies in licensing their technologies to Chinese companiess.
• Advised U.S. companies in setting up contract manufacturing relationships with Chinese companies.

• Mediated (as a mediator) for dozens of disputes involving breach of contract and/or fraud claims.
• Mediated (as counsel) for dozens of clients and settled their disputes in cases involving quality defects, commission payments, and joint venture exits, among others.
• Advised companies in lawsuits against distributors, landlords, and employees.
• Advised foreign companies in lawsuits against their U.S.-based customers for failing to pay for goods delivered.
• Counseled foreign companies in defending their product liability lawsuits and tortious interference lawsuits in Texas.
• Served as a receiver in an SEC investigation of an investment fraud case involving more than 200 investors/victims.
• Assisted a receiver in a matter with more than 2,000 investors/victims in Taiwan in an SEC investigation of a securities investment fraud case.
• Served as a core member of a legal team successfully defending a major Chinese oil and gas company in a case filed in a federal court in Texas, with a claim of more than $1 billion.
• Served as a core member of a legal team defending a major Chinese oil and gas company in a case filed in a Texas state court resulting from an international drilling accident and obtain dismissal of the case for the client.

Tom received his bachelor’s degree from Shandong University, his Master’s degree

from Rollins College, and his Juris Doctor degree from Vanderbilt University School of

Law. He is fluent in Mandarin Chinese.

Outside of his legal work, Tom is actively involved in his community contributing his time

to various non-profit organizations. Currently Tom serves on several advisory boards of

a local organizations. He is the chairman of the board of directors of a local chamber of

commerce. Above all, Tom treasures spending time with his wife and son. They enjoy

cooking, playing cards, watching movies, camping, hiking, traveling, and discovering

new restaurants together.
